Singer Capital Markets is delighted to be acting as Financial Adviser, Nominated Adviser and Broker to Checkit on its recommended all-share merger with Crimson Tide pursuant to which Checkit will acquire the entire issued and to be issued share capital of Crimson Tide.

Under the terms of the Merger, each Crimson Tide Scheme Shareholder will receive six new Checkit shares and immediately following Completion, Crimson Tide Scheme Shareholders will own approximately 26.8 per cent. of the issued share capital of the Combined Group. The terms of the Merger value the entire issued share capital of Crimson Tide at approximately £6.5 million.

Completion of the Merger is subject to the satisfaction of various conditions and certain further terms set out in Appendix I to the announcement of the Merger issued by the Company today pursuant to Rule 2.7 of the Takeover Code.
